ORCO Germany S.A. - the company received a formal request from its major
shareholder ORCO Property Group S.A. to a add new item on the agenda of the
Annual General Meeting of the Shareholders of ORCO Germany, convened to be
held at the registered offices of the Company on 15 April 2011 at 3 p.m.
(the 'Annual General Meeting').
ORCO Property Group as the major shareholder of ORCO Germany, holding
58.94% of the corporate capital requested the following item to be put on
the agenda of the Annual General Meeting:*
1. Decision by the shareholders to continue the activities of the Company
and not to dissolve it as a consequence of the fact that the cumulated loss
of the Company exceeds more than three quarter of its corporate capital.**
*Pursuant to Article 70 of the Luxembourg law of 10 August 1915 on
commercial companies, as amended (the 'LCA'), one or more shareholders who
together hold at least ten percent of the subscribed capital, may request
additional items to be put on the agenda of a general meeting up to five
days prior to holding of a general meeting.
**Please also refer ORCO Germany press release of 1 April 2011 - 'Audited
consolidated financial statements for the fiscal year 2010' for more
information on this matter.
