TAG Immobilien AG: TAG Immobilien AG announces a takeover bid to
outside shareholders of Bau-Verein zu Hamburg Aktien-Gesellschaft

(Hamburg, 07 February 2012) - TAG Immobilien AG ('TAG' in the following)
today announced its decision to extend a takeover bid to the minority
shareholders of Bau-Verein zu Hamburg Aktien-Gesellschaft (WKN/SIN 517900,
ISIN DE0005179006) ('Bau-Verein' in the following), in the amount of EUR
4.50 per share. Bau-Verein shareholders can tender their shares to TAG for
EUR 4.50 per share during the offer period, 10 February to 9 March 2012.
TAG Immobilien AG is longstanding major shareholder and currently owns
93.21 percent of the voting rights in Bau-Verein. Details of the offer will
automatically be sent to all Bau-Verein shareholders soon by the custodian
banks. The offer, which will be published in the electronic edition of the
Bundesanzeiger on 10 February, is not subject to the provisions of the WpÜG
(German Securities Acquisition and Takeover Act).
