EDB ErgoGroup ASA - Minutes of the Annual General Meeting

(Oslo, 23 April 2012) EDB ErgoGroup ASA has today held its Annual General
Meeting (AGM) and the company's Annual Report and Accounts for 2011 were
approved. The AGM approved the application of other equity to cover the loss for
2011 of NOK 24.1 million.
It was decided that a dividend of NOK 0.35 per share will be paid for 2011. The
dividend will accrue to the company`s shareholders at the close of business on
23 April 2012, and the company`s shares will be traded on the Oslo Stock
Exchange ex dividends as from 24 April 2012.
The AGM elected Eli Skrøvset as a new member of the Board elected by the
shareholders for a maximum period of 2 years.
The AGM also approved the new name of the company, EVRY ASA.
The AGM also approved a mandate for purchases of the company's own shares for
use in share programs for employees approved by the AGM.
