Island International Investment Limited Partnership (majority owned by funds
advised by Apax Partners) and Brambles Investment Limited, a subsidiary of
Brambles Limited, today announced that they, after obtaining the applicable
approvals and fulfilling the agreed conditions, have today completed the sale of
33,964,401 shares held by Island International Investment Limited Partnership
and other sellers to Brambles Investment Limited. The transaction was originally
disclosed on November 14, 2010.
Brambles Investment Limited acquired further 16,888,841 shares in IFCO Systems
N.V. through a voluntary public takeover offer dated December 23, 2010 to the
shareholders of IFCO Systems N.V. for the acquisition of their ordinary bearer
shares in IFCO Systems N.V.
Upon completion of the transaction and the voluntary public takeover offer
Brambles Investment Limited has become the majority shareholder of IFCO Systems
N.V.
Karl Pohler, CEO of IFCO Systems N.V., comments on the completion of the
transaction "Apax was a loyal and supportive investor for more than seven years.
The entire management team enjoyed working with Apax to optimize the growth of
IFCO. We now look forward to a continuation of IFCO's growth story with our new
majority shareholder Brambles."
In connection with the above transaction the following members of the
Supervisory Board of IFCO Systems N.V. - Michael Phillips, Ralf Gruss and
Korbinian Knoblach - have today resigned from their offices on the Supervisory
Board of IFCO Systems N.V. with immediate effect.
