Kabel BW announces changes in group structure

- Legal company name of Kabel BW Holdings GmbH changed to Kabel BW GmbH

- Collapse merger of Kabel Baden-Württemberg GmbH&Co. KG into Kabel BW
GmbH

Heidelberg, 4 May 2011. Germany's third largest cable operator Kabel BW has
conducted changes in its corporate structure. The legal company name of
Kabel BW Holdings GmbH has been changed to Kabel BW GmbH.

Subsequently to the change of the name, Kabel BW executed a collapse merger
of the operating entity, Kabel Baden-Württemberg GmbH&Co. KG, into Kabel
BW GmbH which became effective on 1 May 2011. As a consequence, all rights
and obligations of Kabel Baden-Württemberg GmbH&Co. KG have been assumed
by Kabel BW GmbH which is now the operating entity. The collapse merger
resulted by operation of law from the withdrawal of Kabel Baden-Württemberg
Verwaltungs-GmbH as sole general partner of Kabel Baden-Württemberg GmbH&Co. KG on 30 April 2011 (so called 'Anwachsung').

Co-Issuers of the Senior Secured Notes with the ISIN codes USD64268AA91,
USD48283GAA94, XS0611219949, XS0611223388, XS0611234153 and XS0611234070
are now Kabel BW Erste Beteiligungs GmbH and Kabel BW GmbH.

Guarantors of the Senior Notes issued by Musketeer GmbH with the ISIN codes
XS0611238816 and XS0611239111 are now Kabel BW Erste Beteiligungs GmbH,
Kabel BW GmbH and Kabel Baden-Württemberg Verwaltungs-GmbH.
