Naschke: 'My decision aims to ensure a fair balance of interests for the
Supervisory Board appointment process'
Berlin/Bad Oeynhausen, 4 September 2013 - Just prior to the company's
extraordinary General Meeting in Berlin today, Balda AG Supervisory Board
Chairman Dr. Michael Naschke has announced his resignation as Chairman,
effective at the close of today's meeting. The sole agenda item for the
extraordinary General Meeting, which was convened by shareholder Elector
GmbH (Balda capital held: 29.9%), is the appointment of new members of the
Supervisory Board.
Dr. Naschke explains the rationale of his decision:
'For well over eight months now, Balda has been the subject of a
confrontation concerning Supervisory Board appointments that was initiated
by the shareholder Elector. For my own part, I remain convinced that
Elector's attempt to appoint its own candidates to the majority or even all
of the positions in this body does not serve the principles of good
corporate governance. My opinion is also one held by all national or
international voting representatives and shareholder associations.
Prolongation of this conflict would continue to damage Balda AG, however.
It goes without saying that it is in the interests of the company, its
employees and its customers to finally achieve a fair balance of interests
that places the well-being of Balda above partisanship. My decision is
intended to help achieve this objective and establish a situation where all
of the key shareholder groups are adequately represented on the Supervisory
Board.
I thank the Management Board and my colleagues on the Supervisory Board for
their positive and loyal teamwork. I am resigning as Chairman in the firm
belief that both our corporate strategy and business operations are on the
right track.
