Today, the Australian Takeovers Panel declined to conduct further proceedings
with regard to FLSmidth's offer for Ludowici.
Accordingly, FLSmidth's offer of 24 February, 2012 of AUD 11.00 per share (less
any dividends determined, declared or paid by Ludowici before the transaction is
completed) is allowed to proceed.
