WebSafety, Inc. Announces New Directors and Increase in Authorized Shares
(firmenpresse) - NEWPORT BEACH, CA -- (Marketwire) -- 03/20/12 -- Rowland W. Day II, CEO of WebSafety, Inc. (OTCQB: WBSI), announced that the company has added two members to its board of directors and is amending its Articles of Corporation to increase the authorized common stock to 700,000,000 shares. These corporate actions were approved on March 15, 2012 by a majority of shareholders holding approximately 53.49% of the voting securities of the company.
The two new directors are Jaimie Day, Mr. Day's wife, and Melinda Day, Mr. Day's sister. Melinda Day has worked as a volunteer and is now employed by the Boy Scouts of America, Orange County Council, for over 20 years.
The increase of authorized common shares will provide (a) flexibility for future corporate actions; (b) raise additional capital by issuing additional shares of common stock; (c) the ability to grant additional options to purchase common stock to attract qualified employees and consultants; and (d) the ability to issue additional shares of common stock or securities convertible into common stock in connection with strategic corporate transactions, acquisitions, and other business arrangements and corporate purpose.
Mr. Day stated, "The Company intends to assess its need to issue securities for the corporate purpose described above and we believe that we need to be in a position to take advantage of opportunities when they arise. Currently, there is no plan to issue any securities for the corporate purposes described above."
The amendment to the Articles of Incorporation is discussed in the Information Statement that the Company filed with the SEC today.
