Irwin Professional Corporation Report Significant Shareholding

(firmenpresse) - TORONTO, ONTARIO -- (Marketwire) -- 04/20/12 -- Irwin Professional Corporation has acquired a total of 4,142,081 common shares of AireSurf Networks Holdings Inc. (the "Company"). When added to previous purchases, the direct share ownership of Irwin Professional Corporation is 8,543,663 common shares representing approximately 14.6% of the outstanding common shares of the Company on a non-diluted basis and 15.3% of the outstanding common shares of the Company assuming exercise of 532,660 common share purchase warrants held by Irwin Professional Corporation.

Prior to this transaction, Irwin Professional Corporation owned and controlled an aggregate of 4,401,582 common shares of the Company and 532,660 common share purchase warrants. In addition, Chris Irwin, the principal of Irwin Professional Corporation, personally owns 725,000 common shares of the Company and has shared control over 2,479,000 common shares of the Company through an associate. Mr. Irwin owns a further 500,000 common share purchase warrants of the Company.

Irwin Professional Corporation acquired the above-noted shares of the Company for investment purposes and it may, depending on market and other conditions, increase or decrease its beneficial ownership, control or direction over the common shares or other securities of the Company, through market transactions, private agreements, treasury issuances, exercise of convertible securities or otherwise.
