Malta Company Formation – Registration of a Malta Company

The island has double-taxation treaties with a large number of countries including most of the relatively high taxed European economies. Coupled with the attractive tax regime, Malta had become a location of choice for ship and yacht registrations, and EGaming companies. Malta is also an attractive regime for holding and trading companies.

Malta company formation is regulated by the Malta Financial Services Authority (“MFSA”).

By European standards, Malta has a reasonably sophisticated business and professional infrastructure. Business sectors with offshore activity include banking, investment fund management (there is a stock exchange with a growing array of mutual fund listings), trust management, shipping (a particularly strong sector) and investment holding.

Malta company formation may be undertaken by both residents and Non-residents. The types of Malta companies that can be registered are as follows :

Malta company formation of a Private Limited Company
Malta company formation of a Branch of overseas Company
The formation of a Malta Partnership (General or Limited)
The formation of a Malta Trust

Malta Company Formation – Registration

The Malta company formation process is undertaken by a locally registered agent and is governed by the Malta Financial Services Authority. Malta Companies are registered with the Registrar of Companies. The key issues in this regards are:

Company Name: This must be unique, dissimilar to existing Malta company names, ended in “Ltd” or “Limited”, and must be approved by the Registrar of Companies
Share Capital Requirements: Minimum EUR 1,164.69
Shareholders: There must be at least one shareholder – liability is limited to the nominal value of their share participation
Registration Fees: These are defined in the Companies Act based upon the company share capital and vary between EUR 245 and EUR 2,250
Annual Fees: These are defined in the Companies Act based upon the company share capital and vary between EUR 100 and EUR 1,400 per annum
Memorandum: This must include whether the Malta company is a public or private company, the company name, residence and identity of each of the subscribers, the company name, the registered office in Malta, the company objectives, the registered share capital and amounts paid by each subscriber, full details of all directors, full details of company secretary or secretaries, and the duration of the company (if for a limited period)




Articles of Association: This document defines the companys internal procedures
List of Directors / Company Secretary: A minimum of one Director is required ( can be non-resident ) and one Company Secretary ( which must be a licensed Maltese Nominee Company )
Registered Address: All official notices will be served here

Once all the required documents listed above have been lodged and approved by the Registrar of Companies a Certificate of Incorporation will be issued.
Malta Company – Tax Advantages

Malta is an onshore Low Tax regime
Typical net income tax for Malta companies with non-resident members is only 5%
There are possibilities to reduce taxation further with appropriate tax planning even further down, in some cases as low 0%
Malta benefits from an extensive network of double tax treaties
There is an exemption from tax on dividends received
There is an exemption from withholding tax on the repatriation of income
There is an exemption from tax on the profit generated from securities transactions
As part of the EU, Malta benefits from EU Directives.

Malta company tax is fully credited to shareholders on the distribution of profits and, depending upon the business activity from which the profit has been generated, recipients of dividend income may become entitled to refunds of the company tax paid. These refunds can reduce the effective tax burden on distributed profits to between 5/7 and 7/7 or 0% and 10%.
