itelligence AG successfully completes capital increase with pre-emptive
subscription rights
Bielefeld, May 22, 2012 - By the end of the subscription period on May 18,
2012, the shareholders of itelligence AG had subscribed to all 5,457,243
new bearer shares at a subscription price of EUR 6.75 per share from the
capital increase subject to pre-emptive subscription rights by exercising
their pre-emptive subscription rights, or had purchased them by being
granted their declared additional subscription requests. With a
subscription ratio of 80.2%, 1,082,419 new shares were available for
additional subscription. Accordingly, the Management Board resolved, with
the approval of the Supervisory Board, to stipulate the final scope of the
capital increase as 5,457,243 new shares.
NTT DATA EUROPE GmbH&Co. KG, which currently holds 77.7% of the share
capital, exercised all of the pre-emptive subscription rights attributable
to it, acquiring 5,314,863 new shares by way of subscription and granting
of additional subscription shares. By exercising pre-emptive subscription
rights and being granted additional subscription shares, free-float
shareholders subscribed to or purchased a total of 142,380 new shares.
The capital increase results in gross issue proceeds of MEUR 36.8 for
itelligence AG, which are to be used for the targeted increase in regional
coverage by way of acquisitions and expansion into growth markets. There
will be a focus here on strengthening and rounding out the range of
services offered to itelligence customers.
Following the entry of the capital measure in the commercial register -
scheduled for May 29, 2012 - the total number of itelligence shares issued
will increase to 30,014,838 shares. The shares that have been subscribed to
and granted are planned to be delivered on May 31, 2012, but no earlier
than after their admission on the stock exchange. The inclusion of the new
shares in stock exchange trading is also scheduled for May 31, 2012. Owing
to the different profit entitlement, the new shares will be traded
separately under the ISIN number DE000A1PHD61 until their planned inclusion
in the existing listing.
