EUR 430 million refinancing

The Sachtleben Group, a TiO2 venture between Rockwood and Kemira, has
entered into a new Facility Agreement with Merchant Banking, Skandinaviska
Enskilda Banken AB (publ) (SEB), SEB AG, Frankfurt am Main, Deutsche Bank
AG, London Branch, Morgan Stanley Bank International Limited, and KKR
Capital Markets Limited as Coordinators and Bookrunners; SEB as Agent and
Security Agent; SEB AG as Original Issuing Bank. The Facility Agreement
refinances Rockwood and Kemira's TiO2 venture. The Facility Agreement is
for an aggregate amount of EUR 430 million and provides for a EUR 200
million Facility A term loan and a EUR 200 million Facility B term loan and
a revolving credit facility in an amount of EUR 30 million.
Sachtleben produces titanium dioxide and functional additives at its plants
in Duisburg (Germany) and Pori (Finland).
The Willkie team was led by Jan Wilms (Partner, Finance, Frankfurt) and
included Dr. Patrick Meiisel (Partner, Tax, Frankfurt), Mario Bammann
(Associate, Finance, Frankfurt), Patrick Wacker (Associate Corporate,
Frankfurt) and Jörg Walzer (Tax, Frankfurt).
