Sanoma divests its business information services operations Esmerk

Sanoma Learning has today sold its business information services company Esmerk
Oy to M-Brain Oy for an enterprise value of EUR 10 million. The transaction
takes effect immediately.
Esmerk is a provider of information and media monitoring services and it has
operations in Finland, France, Germany, Malaysia, Russia, Sweden, the UK and the
US. In 2011, Esmerk's net sales were EUR 10.6 million and EBIT excluding non-
recurring items was EUR 1.0 million. Company employs some 190 persons (FTEs).
The divestment is in line with Sanoma's strategy to focus its operations and to
concentrate on consumer media and learning. As a result of the transaction,
Sanoma will recognise in the second quarter of 2012 a non-taxable non-recurring
capital gain of some EUR 6 million.
