Frankfurt, February 16, 2010 - Roth&Rau AG, Hohenstein-Ernstthal,
increased its capital by EUR 1,379,999. The pre-emptive rights of existing
shareholders were excluded. The 1,379,999 new shares were placed in an
accelerated bookbuilding at a price of EUR 26.00 per share. The capital
increase met with great demand from institutional investors from Germany
and abroad and was placed in full by Credit Suisse Securities (Europe)
Limited within just a few hours. The transaction provided Roth&Rau AG
with gross issue proceeds of around EUR 35.9 million, which will be used to
strengthen the company's balance sheet and to finance part of the recently
announced acquisition of OTB Solar B.V. The new shares have been admitted
to trading on the Regulated Market of the Frankfurt Stock Exchange (Prime
Standard).
