Acquisition of Axir ASA and increased share capital

Reference is made to the stock exchange notices as of December 21st 2009 and
January 25th 2010 where Acta Holding informed the market about the acquisition
of the investment advisory services company Axir ASA. Acta has after close of
Oslo Stock Exchange today 9 March 2010 acquired the shares in Axir ASA.
In accordance with the share purchase agreement, 80 percent of the purchase
price shall be settled by consideration shares in Acta on completion and the
remaining part by consideration shares at a later stage when certain agreed
terms and assumptions are verified.
To issue the consideration shares delivered upon completion, the Board of
Directors in Acta Holding ASA has resolved to increase the company's share
capital with NOK 842,015.88 from NOK 45,303,017.76 to NOK 46,145,033.64 by issue
4,677,866 shares with a face value of NOK 0.18. The resolution is made on the
basis of the proxy given to the Board of Directors on the ordinary general
meeting in 2009. The total number of outstanding shares will after this share
issue be 256,361,298. The articles of association is resolved to be amended
accordingly. The share capital increase is expected to be registered on 10 March
2010.
