NOTICE TO ADMITTED INSTITUTIONS
This announcement is being made pursuant to Section 4.3 of the Dutch Takeover
Decree.
Reference is made to the cash offer (the "Offer") announced by Holowent Limited
("Holowent") on 25 January 2010 in respect of NR Nordic & Russia Properties
Limited ("NR Nordic"). Capitalised terms used but not defined in this
announcement shall have the meaning given to them in the offer document
containing the terms and conditions of the Offer that was posted to NR Nordic
Shareholders on 22 February 2010.
Admitted Institutions are reminded that the Acceptance Closing Date of the Offer
is 17.30 hours CET (16.30 hours London time) on 6 April 2010.
Under the terms and conditions of the Offer and in accordance with the City
Code, acceptances in respect of NR Nordic Shares held in uncertificated form
will only be counted towards the fulfilment of the acceptance condition if
Transfers to Escrow Instructions (TTE Instructions) have been effected on or
before the Acceptance Closing Date.
In order to facilitate the issue of TTE Instructions in CREST by Euroclear
Nederland and Euroclear Nominees (being the registered holders in CREST of the
NR Nordic Shares held through Admitted Institutions) on or before the Acceptance
Closing Date such that the relevant acceptances count towards the fulfilment of
the acceptance condition, ING Bank N.V. requests that Admitted Institutions
notify it of any acceptances of the Offer before 17.00 hours CET (16.00 hours
London time) on 6 April 2010.
For the avoidance of doubt, nothing in this notice constitutes an amendment of
the Acceptance Closing Date, which remains 17.30 hours CET (16.30 hours London
time) on 6 April 2010.
