Northeastern Signs Ukraine Coal LOI
(firmenpresse) - TORONTO, ONTARIO -- (Marketwire) -- 09/24/12 -- Northeastern Group Inc. (unlisted) announced it has signed a letter of intent to acquire all the outstanding shares of Cok-Par Resources Corp. in exchange for the issuance of 48,714,000 common shares after consolidating the existing 26,295,567 outstanding shares on an 8:1 basis. The acquisition is conditional on Cok-Par completing a private placement of $300,000 and acquiring a coal exploitation license in the Donetsk district of the Republic of Ukraine and verifying the property qualities in a 43-101 report before December 2012. The transaction is subject to a formal share exchange agreement being executed and satisfactory diligence work being completed.
