Milan, Italy, 16 April 2010 - BioXell S.p.A. (SIX Swiss Exchange: BXLN)
announced today that following Cosmo Pharmaceuticals SpA's successful public
tender offer for all publicly held shares in BioXell SpA, it filed an
application with the Regulatory Board of SIX for the delisting of its shares and
this has now been approved.
The last day of trading is 19 May 2010. The BioXell shares will be delisted on
May 20, 2010. Given that less than 5% of BioXell SpA's shares remain in public
hands off exchange trading will not be maintained.

BioXell is a biopharmaceutical company founded in 2002 as a spin-out from Roche.
In June 2006, BioXell listed its shares on the main segment of the SIX Swiss
Exchange. Following the discontinuation of its main clinical programs the board
sought a strategic re-orientation. After evaluating all options the board
recommended to its shareholders to accept the public offer by Cosmo
Pharmaceuticals SpA. 98.96% of BioXell SpA shares were tendered to Cosmo
Pharmaceuticals SpA in the ensuing recommended public offer. Cosmo
Pharmaceuticals SpA is now assessing possible liquidation respectively a
reassignment of certain functions within the Cosmo Pharmaceuticals Group. The
Company has been relocated to Cosmo's headquarters in Lainate, (MI) Italy.
