December 11, 2012 – Toronto, ON – Gold Cap Resources Inc. (Frankfurt: R5UN) (the “Company”) is announcing that the Company has decided not to proceed with its proposed acquisition of over 32,450 acres of mining properties owned by Yellowstone Resources Ltd. and located in south-eastern British Columbia. Instead, the Company plans to concentrate on the exploration and development of its copper property located at Mina del Inca, Chile, and its gold property located in the Motherlode district near Grass Valley, California.
In accordance with an April 4, 2012 announcement by Deutsche Börse AG, the operator of the Frankfurt Stock Exchange, the First Quotation Board of that exchange will close on December 15, 2012 and the trading of the Company’s shares will be discontinued as a result. Although the closure of this open market segment is unfortunate, it has provided the Company with an opportunity to re-evaluate its options for maximizing shareholder value, and it is currently planning to pursue the listing of its shares on a different European exchange.
The Company is currently in the process of negotiating a significant private financing and expects to announce the results of that transaction shortly.
