Notice convening Annual General Meeting in Russian Real Estate Investment Company AB (publ)

Notice is hereby given to the shareholders in Russian Real Estate Investment
Company AB (publ), corporate identity number, 556653-9705, of the Annual General
Meeting on Tuesday, 22 June 2010 at 09:00, at Radisson SAS Strand Hotell,
Nybrokajen 9, Stockholm.

Right to attend the Annual Meeting
Shareholders wishing to attend the annual meeting must be entered into the
transcription of the share register maintained by Euroclear Sweden AB as of
Wednesday 16 June 2010 must give notice of attendance to the company by phone
+46 8 509 00 100/102 or by fax +46 8 611 77 99 not later than 16:00 on Wednesday
16 June 2010. Notice by telephone can be given weekdays between 10:00 a.m. and
4:00 p.m. Notice can also be given in writing within the prescribed time to
Russian Real Estate Investment Company AB (publ), Hovslagargatan 5 B, 111 48
Stockholm, Sweden. When giving notice of attendance, please indicate your name,
date of birth, address, telephone number and number of attending assistants. A
shareholder may bring one or two assistants, however only if the shareholder has
given notice hereof in due course. The data received when giving notice of
attendance will be processed and used only for the annual meeting.

Shareholders, whose shares are registered in the name of a nominee, must request
to be temporarily entered into the share register kept by Euroclear Sweden AB as
of 16 June 2010 at the latest in order to have a right to attend the meeting.
The shareholder must inform the nominee to that effect well before 16 June 2010
when he must have been entered into the share register.

Shareholders represented by proxy shall issue a power of attorney for the
representative, which needs to be presented in original at the meeting. In case
the power of attorney is issued by a legal entity, a certified copy of a
certificate of registration for the legal entity shall be enclosed to the proxy.




The power of attorney must not be older than one year.

Proposed agenda for the meeting
1.      Opening of the meeting and election of chairman of the meeting
2.      Establishment and approval of voting list
3.      Approval of the agenda for the meeting
4.      Election of one or two persons to approve the minutes
5.      Establishment as to whether the meeting has been duly convened
6.      Presentation of the annual report and auditor's report as well as the
consolidated financial statements and auditor's report on the consolidated
financial statements
7.      Resolutions regarding
a.       the adoption of the income statement and balance sheet as well as the
consolidated income statement and consolidated balance sheet
b.      the disposition of the company's profits or losses in accordance with
the adopted balance sheet
c.       the discharge of the members of the Board of Directors and the Chief
Executive Officer from personal liability
8.      Determination of the fees for the Board of Directors and the auditors
9.      Election of the members of the Board of Directors
10.  Election committee
11.  The board's proposal for decision on giving the board authorization to make
new issues
12.  Closure of the meeting

PROPOSED RESOLUTION

Item 7 b - Resolution regarding the disposition of the company's profits or
losses in accordance with the adopted balance sheet

The Board of Directors proposes to the annual meeting that the loss for the year
amounting to SEK 1,106,630,024 is accumulated to the loss brought forward
amounting to SEK 33,590,129 and that the share premium reserve amounting to SEK
1,017,304,444 is used to cover for part of the loss. Hereafter the loss brought
forward amounts to SEK 124,915,709 and total equity amounts to SEK 133,810,594.

Item 8 - Determination of the fees for the Board of Directors and the auditors

Directors' fees of an amount of SEK 100,000 are proposed to be paid to each
member of the Board of Directors.

Auditor's fees based on current reasonable invoicing rates are proposed to be
paid.

Item 9 - Election of the Board of Directors
The election committee, consisting of Ramsay Brufer (chairman), Nils Nilsson and
Tom Dinkelspiel, will present their proposal for board composition through the
Company at the latest on 8 June 2010.

Item 10 - Election committee

The Annual meeting 2009 resolved to elect an election committee and to adopt
rules and procedures for the election committee. The election committee will
present proposals with regards to the rules and procedures for the election
committee, if any, at the latest on 8 June.

Item 11 - The board's proposal for decision on giving the board authorization to
make new issues

The board proposes that the Annual meeting resolves to authorize the board - for
no longer than until the next Annual general meeting and at one or several
occasions - to decide on new issues of shares of series B. Such issues (i) shall
be allowed to include deviation from the shareholders' pre-emption right, (ii)
may not entail that the Company's share capital increases with a total amount
exceeding SEK 20,000,000, and (iii) shall be allowed to include payment through
assets contributed in kind or through set-off.

The reason for the possibility to resolve on issuing new shares without
pre-emption rights is to increase the flexibility regarding the financing of
primarily Moika/Glinky.

Documents
The financial statements and auditor's report for the year 2009, is available
for shareholders at the Company's web-site www.ruric.com
. The election committee's proposal for board composition
etc. will be available for the shareholders from 8 June at the Company's office
on Hovslagargatan 5 B, 111 48 Stockholm, Sweden. The documents will also be sent
to the shareholders that so request and who state their postal address and will
also be available at the general meeting.
