Eastern Property Holdings Ltd. (the "Company") has been notified that, as of the
close of business on 19 December 2012, stakes in the Company held by the
following shareholders have been reduced to below 3%:
- Valartis Group AG and affiliated companies
- Red Square Equity Fund and affiliated companies
- Entities affiliated with Mr. Serge de Pahlen
At the same time, the Company has been notified that CAIAC Fund Management AG's
Aurora Value Fund has acquired more than 66.67% of the voting shares.
The Company has 5,338,132 shares in issue, which, after adjustment for treasury
shares, results in 4,262,613 voting shares.
Pursuant to Article 7.6 of the Articles of Association of the Company, as
amended at the 2011 Annual Shareholders Meeting held on 21 June 2011, a
shareholder must notify the Company of the percentage of its shares outstanding
he holds, directly or indirectly, if such aggregate ownership reaches, exceeds
or falls below 3%, 5%, 10%, 15%, 20%, 25%, 33%, 50% or 66% as a result of an
acquisition or disposal of shares or any other form of financial instrument or
derivative which results in an entitlement to acquire, on such Shareholder's own
initiative alone, shares of the Company.
In compliance with the requirements of the Company's Articles, CAIAC Fund
Management AG's Aurora Value Fund has notified the Company that it has acquired
more than 50% of the shares in issue.
