Stonesoft share subscriptions with options and increase in share capital
A total of 137 500 shares have been subscribed with Stonesoft Option Programs.
The share subscriptions were based on the Option Program 2004A, 2004B and 2004C
options (93 750 shares) and Option Program 2008A options (43 750 shares).
According to the terms of the Option Programs, the subscription price per share
was EUR 0.56 (Option Program 2004) and EUR 0.30 (Option Program 2008).
The corresponding share capital increase of EUR 1 125.00 has been entered in the
Finnish Trade Register on May 3, 2010 and EUR 1 875.00 has been entered in the
Finnish Trade Register today, May 28, 2010. After the increase, the share
capital of Stonesoft Corporation is EUR 1 147 929.64 in total. The share capital
is divided into 63 140 232 shares. The 56 250 new shares were admitted to
trading on May 7, 2010 and 81 250 shares will be admitted to trading on the
NASDAQ OMX Stock Exchange together with the existing shares starting on May
31, 2010. The new shares will provide the shareholders with full shareholder
rights.
The Stonesoft Option Program 2004 is based on the resolutions of the Annual
General Meeting on November 24, 2004 and Option Program 2008 is based on the
Board of Directors resolution on May 6, 2008 and June 17, 2008, based on the
authorization granted of the Annual General Meeting on April 23, 2008. The terms
of the two programs have been published previously as stock exchange releases.
