Planegg-Martinsried near Munich, June 01, 2010 - telegate AG sells its
wholly-owned Italian subsidiary telegate Italia S. r. I., Turin, as well as
two Call Centers operated in Italy, where telegate operatively settled the
telephone directory assistance business for the Italian market. The
subsidiary is completely taken over by SEAT Pagine Gialle S. p. A., Italy's
leading provider of directory media. The leading Italian Call Center
service provider Contacta S. p. A., takes over the two Call Centers in
Livorno and Turin including the employees there as well as some tangible
assets and contractual obligations via two company subsidiaries. All
employees taken over receive an employment guarantee of several years. Both
transactions became effective as of June 01, 2010. Overall, the cash inflow
for the telegate group is about 3.5 million euro.
The background for the current transactions is the situation on the Italian
telephone directory assistance market on the one hand, which is already in
an advanced phase of consolidation and no longer offers any significant
growth perspectives for the telegate group today. On the other hand, the
sale of the company and the operative business in Italy is due to the
changed strategy and transformation of telegate AG's business model.
telegate AG changes from a classic provider of telephone directory
assistance to a specialist for Local Search and digital marketing partner
for SMEs. The company's business activities focus on the German core market
and telegate intends to make decisive use of the major growth perspectives
in the Local Search market here. The media business showed a dynamic growth
of almost 20 percent in the first quarter of 2010 compared to the previous
year.

telegate Italia S. r. I. is a part of the telegate group since 2000. The
sub-segment Italy generated sales in the amount of EUR 20.8 m in the annual
year 2009 with EBITDA before non-recurring items of EUR 1.5 m. Thus, the
subsegment Italy contributed approx. 14 percent to group sales and approx.
4 percent to the company's operating profit respectively.
About telegate AG:

extended the classic business sector telephone directory assistance with
information offers on the Internet financed by advertising and additional
digital Media. The company supplies the users in Germany with high-quality
information via the Internet portals 11880.com and klicktel.de, the
telephone directory assistance 11880, the klickTel software as well as via
local search applications for mobile devices. According to the GFK, 11 88 0
is the most known telephone number in Germany with an unaided brand
awareness of approximately 54 percent as well as the leading alternative
provider of telephone directory assistance on the German market with a
market share of approximately 40 percent.
The company as a marketing partner offers tailored advertising consulting
and concepts for all modern directory assistance media. Small and
medium-sized businesses receive a modern 'One-Stop-Advertising'-offer via
the distribution brand 'telegate MEDIA': trade advertising in telegate's
five directory assistance channels combined with marketing via partners
with a great coverage, e.g. Vodafone and Nokia. In addition to Germany,
telegate is also successfully established in Italy, Austria and Spain
today. The company was launched in 1996 and has been successfully listed
on the Frankfurter Boerse (Frankfurt stock exchange) since 1999 (ISIN:
DE0005118806). The telegate group with approx. 2,900 employees generated
total revenues of approx. EUR 153.9 m and an annual net income after taxes
of EUR 16.1 m in the fiscal year 2009.
