Increased share capital

Reference is made to the stock exchange notices as of December 21st 2009,
January 25th 2010 and March 9th 2010 where Acta Holding informed the market of
the acquisition of the investment advisory services company Axir ASA.
In accordance with the share purchase agreement, 80 percent of the purchase
price were settled by consideration shares in Acta on completion. The remaining
part shall be settled by consideration shares when certain agreed terms and
assumptions are verified, which has now taken place.
In order to issue the remaining consideration shares, the Board of Directors in
Acta Holding ASA has resolved to increase the company's share capital with NOK
210,501.36 from NOK 46,145,033.64 to NOK 46,355,535.00 by issuing 1,169,452
shares with a face value of NOK 0.18. The resolution is made on the basis of the
proxy given to the Board of Directors on the ordinary general meeting on May
11th 2010. The total number of outstanding shares will after this share issue be
257,530,750. The articles of association is resolved to be amended accordingly.
The share capital increase is expected to be registered within a few days.
