The purpose of this PR is to give you notice of a general meeting which will be held in Central London on August 10th, 2010. The general meeting will be held at the offices of the Company’s solicitors Fasken Martineau LLP, Fourth Floor, 17 Hanover Square, London W1S 1HU, UK, at 10.00am when the following resolutions (“Resolutions”) will be considered:
●to remove Mr Joss Muirie as a director of the Company
●to change the name of the Company to “Solarmag PLC”
●to approve the acquisition of Rivma from LEG
●to effect a reorganisation of the Company’s share capital to facilitate the issue of shares for cash
●to adopt new articles of association in compliance with the Companies Act 2006
●to give the directors the general authority to allot shares and convertible securities with a nominal value of up to EUR70 million
●to empower the directors to issue shares and convertible securities for cash pursuant to the previous authority as if the statutory pre-emption rights contained in the Companies Act 2006 did not apply.
The board regrets the delay in bring forward the resolution to change the Company’s name but as can be seen from the Company’s other release announced today, the Company has been in lengthy negotiations to acquire a company with rights to build two European solar film manufacturing plants. Since that transaction also requires shareholder approval the board considered that it was in the interests of the Company to delay the first general meeting and to deal with both issues at the same meeting.
Floor Mouthaan resigned as a director on 16 July 2010 and Jack Beckers has agreed to resign on or before the general meeting on 10 August. The continuing board of DERE understands that Mr Mouthaan and Mr Beckers are developing proposals to enable the Company's shareholders (other than Mr Magnusson and his related companies) to participate in a new venture, which is likely to include ownership of the non-solar assets of the Company. Mr Mouthaan and Mr Beckers have indicated that they expect to write to those shareholders with details of their plans within 30 days after the general meeting.
