SUBSCRIPTION PRICE AND MARKET VALUE OF STONESOFT CORPORATION STOCK OPTIONS 2012B
The Board of Directors of Stonesoft Corporation decided on 18 January 2012 based
on the authorization by the Annual General Meeting of Shareholders on 13 April
2011 about the issuance of stock options to Stonesoft Group key employees. The
share subscription price for stock option 2012B is EUR 2.31 per share (the trade
volume weighted average quotation of the share on NASDAQ OMX Helsinki Ltd during
1 February-31 March 2013). Annual dividends and equity returns are deducted from
the share subscription price.
A total of 1,500,000 new shares or existing shares held by Stonesoft Corporation
can be subscribed for with stock options 2012B. The share subscription period
for stock options 2012B will be 1 March 2016-31 March 2018. The share
subscription period will only begin if the Net Sales in consolidated financial
statements of any financial year 2012-2016 is at least forty-two (42) million
Euros. The stock options for which the target has not been attained will expire
in a manner decided by the Board of Directors.
The theoretical market value of one stock option 2012B is EUR 1.07. The
theoretical market value of the stock options 2012B is EUR 1 605 000 in total.
The theoretical market value of one stock option has been calculated based on
the Black-Scholes stock option pricing model with the following input factors:
share price EUR 2.20, share subscription price EUR 2.31, risk free interest rate
1.8%, validity of stock options five years and volatility 57%.
