Planet Organic Health Corp.: Corporate Update
(firmenpresse) - CALGARY, ALBERTA -- (Marketwired) -- 04/11/13 -- Planet Organic Health Corp. (TSX VENTURE: POH.H), Mr. Ronald Francisco, President and Chief Executive Officer of Planet Organic Health Corp. (the "Corporation"), announces that pursuant to the Corporation's Annual General and Special Meeting of Shareholders held on November 27, 2012, the shareholders approved, among other things, up to a maximum of a one for ten (1:10) consolidation of the Corporation's common shares. The Corporation has submitted all applicable documents to the TSX Venture Exchange (the "TSXV") and the common shares will be posted for trading on a consolidated basis once the TSXV approves the consolidation, which is expected to occur shortly. In accordance with the share consolidation, shareholders of the Corporation will be entitled to receive one post-consolidation common share of the Corporation (new share) for every ten pre-consolidation common shares of the Corporation (old shares) currently held. The Corporation currently has 34,664,794 common shares issued and outstanding and will have 3,466,479 post-consolidation common shares issued and outstanding. The Corporation will not be changing its' name and the trading symbol will remain "POH.H".
Letters of transmittal to be used to exchange share certificates representing old shares for share certificates representing new shares were mailed to registered shareholders on March 28, 2013.
Corporate Activity
The Corporation, which is listed on the NEX board of the TSXV, currently has no operating assets or business. The Corporation will remain on the NEX until it acquires new assets or businesses, which would result in the Corporation once again meeting the TSXV's minimum listing requirements.
