HELMA Eigenheimbau AG passes resolution to implement capital increase
Lehrte, April 15, 2013 - The Management Board of HELMA Eigenheimbau AG, the
specialist for individual solid construction houses and sustainable energy
concepts, has today passed a resolution with Supervisory Board assent to
increase the company's share capital under exclusion of subscription rights
for existing shareholders by up to EUR 286,000.00, from currently EUR
2,860,000.00 to up to EUR 3,146,000.00, through issuing up to 286,000 new
ordinary bearer shares under partial utilisation of the existing approved
capital. The new shares are to be placed among German and European
institutional investors by way of an accelerated bookbuilding procedure and
carry full dividend rights as of January 1, 2012. M.M. Warburg&CO KGaA
will manage the transaction as lead manager and bookrunner. GBC Kapital
GmbH will act as selling agent. The funds from the capital increase are to
be utilised primarily for the further significant expansion of the project
business within the conurbation areas of major German cities.
