Results of Annual General Meeting
(firmenpresse) - LONDON, UNITED KINGDOM -- (Marketwired) -- 05/22/13 -- Anglo Pacific Group PLC (the "Company") (LSE: APF)(TSX: APY) is pleased to announce that at the Annual General Meeting of the Company held on May 22, 2013 ordinary resolutions were passed to approve a final dividend of 5.75p per share and to authorise the directors to offer scrip dividends and to allot shares in the Company pursuant to section 551 of the Companies Act 2006. Special resolutions to authorise the directors to allot equity securities or sell treasury shares for cash without first offering them to existing shareholders in proportion to their existing holdings, to authorise the Company to make one or more market purchases of its own shares and to allow 14 clear days to be the minimum period of notice for all general meetings of the Company (other than annual general meetings) were also passed.
All resolutions were passed on a show of hands. There were no polls.
Full details of the proxy votes received from shareholders prior to the meeting for each resolution will be available on the Company's website. A copy of the resolutions passed at the Annual General Meeting that the Company considers to be non-routine business will be submitted to the UK Listing Authority's National Storage Mechanism and will be available to view at .
