Solutions4CO2 Inc. Announces Closing of Non-Brokered Private Placement
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 05/30/13 -- Solutions4CO2 Inc. ("S4CO2" or the "Company") (TSX VENTURE: SFC) is pleased to announce, in compliance with TSX Venture Exchange ("TSXV") policies, the closing of its previously-announced, non-brokered private placement for gross proceeds of C$571,500 (the "Private Placement"). Pursuant to the Private Placement, the Company issued 3,810,000 units (the "Units") at C$0.15 per Unit. Each Unit consisted of one common share ("Common Share") and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant entitles the holder to purchase one Common Share at a price of C$0.20 until April 17, 2016, for 1,600,000 Warrants and until May 30, 2016 for 305,000 Warrants. The Common Shares issued are subject to a four-month-plus-one-day hold period that expires on August 18, 2013 for 3,200,000 Common Shares and on October 1, 2013, for 610,000 Common Shares.
The Company paid a finder's fee of C$40,920 in connection with the Private Placement.
The Private Placement was conducted in reliance upon certain prospectus and registration exemptions. The net proceeds of the Private Placement will be used to enhance the Company's cash on hand and strengthen its working capital position. Post closing, the Company will have 40,128,011 common shares outstanding.
