Bad Oeynhausen, 3 June 2013 - In a decision dated 28 May 2013, the Hamm
Higher Regional Court rejected the appeal filed by the shareholder Elector
GmbH against the current composition of the Supervisory Board of Balda AG.
This decision is final and cannot be appealed.
The shareholder's appeal was directed against the decision of the Bad
Oeynhausen Local Court dated 22 February 2013. In this decision, the court
agreed with the company's proposal to appoint the graduate business
administrator and controller Irene Schetelig and the entrepreneur Wilfried
Niemann as independent members of the company's Supervisory Board after two
seats on the board had become vacant. At the same time, the Local Court
rejected the application of Elector GmbH to appoint two of its own
candidates to the three-person Supervisory Board.
In the reasons given for its decision, the Hamm Higher Regional Court
states that there was no doubt that Ms. Schetelig and Mr. Niemann were
personally and commercially independent of Balda AG. According to the
Higher Regional Court, the decision by the Local Court appeared to be
'based on factual considerations and in line with the company's interests.'
