North Sea Energy Announces the Results of Its Annual and Special Meeting of Shareholders and Corporate Appointments
(firmenpresse) - TORONTO, ONTARIO -- (Marketwired) -- 06/05/13 -- North Sea Energy Inc. ("NSE" or the "Company") (TSX VENTURE: NUK) announces the results of its Annual and Special Meeting of Shareholders (the "Meeting") held on June 5, 2013 in Toronto, Ontario. - 31,765,285 shares were voted representing - 54.27% of the outstanding shares of the Company.
Results of the Meeting
Shareholders voted for the re-election of Hubert-Lance Huet, J. Craig Anderson, C. Brent Austin, Ian D. Lambert, and David Antony as Directors of the Company until the next annual meeting of shareholders.
The shareholders re-appointed Grant Thornton LLP Chartered Accountants as the Company's auditor for the ensuing year and authorized the directors to fix the auditors' remuneration.
Shareholders voted to fix the number of directors to be elected at the Meeting at five.
In addition, shareholders voted to approve a special resolution empowering the board of directors of the Company to determine from time to time the number of directors within the minimum and maximum numbers provided in the articles of the Company.
Corporate Appointments
The Board has re-appointed the following individuals as officers of the Company:
J. Craig Anderson: Chief Executive Officer, President and Secretary
Petya Popova: Chief Financial Officer
The Board re-appointed its standing committees; they include the Audit Committee, the Reserves Committee, the Compensation Committee and the Corporate Governance Committee. The following table includes the committees and corresponding committee members.
For the coming year Peter Rhys-Davies has been appointed Exploration Manager. Mr. Rhys-Davies previously held the title of Chief Exploration Officer. Mr. Rhys-Davies will not be continuing as a director for North Sea Energy's three UK subsidiaries.
