Balda AG: Court grants application to convene extraordinary General

Bad Oeynhausen, 6 June 2013 - In a decision dated 5 June 2013, the Bad
Oeynhausen Local Court granted the application submitted by the shareholder
Elector GmbH to be permitted to convene an extraordinary General Meeting.
The purpose of the General Meeting is to appoint three new members
nominated by Elector GmbH to Balda's three-member Supervisory Board.
However, the Court rejected the shareholder's more extensive application
that a chairman of the extraordinary General Meeting be appointed by the
Court. This means that Dr. Michael Naschke, the chairman of the Supervisory
Board, has been confirmed as the meeting's chairman.
Given that an Annual General Meeting will be held this fall, during which
the respective agenda items could be discussed without incurring extra
costs, the company will appeal the Court's decision. Furthermore, it will
submit an application to suspend the decision's enforceability.
While the convening shareholder is responsible for organizing the
extraordinary General Meeting, e.g. determining the venue and date, the
costs have to be borne by the company.
