Ecolutions GmbH&Co. KGaA - Voluntary purchase offer by AMPIG to the
limited liability shareholders of ecolutions
Frankfurt/Main, 18 June 2013 - AMPIG Beteiligungs&Verwaltungs UG
(haftungsbeschränkt), Hagen, is making the limited liability shareholders
of ecolutions GmbH&Co. KGaA a voluntary purchase offer for the
acquisition of up to 3,000,000 shares at a price of EUR0.05 per share. The
offer was published in the Federal Gazette on 7 June 2013. The acceptance
period is from 10 to 28 June 2013. As these shares are not listed, this
offer is the first time that the limited liability shareholders willing to
sell their shares have the opportunity to do so, should they so desire.
The management of ecolutions has opted not to comment on the offer and has
issued no recommendations for the limited liability shareholders on how to
respond to the offer. The management is of the opinion that the limited
liability shareholders have all the material information with which to form
their own opinion on the offer at their disposal and to decide whether or
not to accept it.
In the recent past, the management has taken a number of measures to
increase transparency in respect of the limited liability shareholders. In
particular, it did this by way of multiple publications on business figures
and processes within and concerning the company. For example, the
provisional figures for the 2012 financial year and information on current
business performance were published on 22 May 2013. The provisional figures
for the first quarter of 2013 were published on 4 June 2013. By way of
publications dated 29 May and 14 June 2013, ecolutions Management GmbH
informed the limited liability shareholders of the court proceedings
amongst the executive bodies of the company and its limited liability
shareholders. The management refers to the details of the most recent
reporting in the individual publications and the website of the company.
