Stonesoft Corporation has on 27 June 2013 received the following notification:
NOTIFICATION OF A CHANGE IN SHAREHOLDING PURSUANT TO CHAPTER 9, SECTION 5 OF THE
FINNISH SECURITIES MARKET ACT
Stonesoft Corporation has on 27 June 2013 received the following notification in
accordance with the Securities Markets Act from Intel Corporation (Delaware
Secretary of State File No. 2189074) and its wholly-owned indirect subsidiary
McAfee Suomi Funding LLC (Delaware Secretary of State File No. 5328874):
The completion trades relating to McAfee Suomi Funding LLC's public tender offer
for all the shares and option rights in Stonesoft Corporation have been executed
today, 27 June 2013, and the tender offer has thus been completed. Upon the
settlement of the completion trades, the ownership of McAfee Suomi Funding LLC
in Stonesoft Corporation will exceed 90% of all the shares and voting rights in
Stonesoft Corporation. The settlement of the completion trades is expected to
take place on 2 July 2013.
According to the notification the ownership of McAfee Suomi Funding LLC, upon
the execution of the trades today is, 63,250,051 (95.42 %) shares and votes,
assuming that all option rights offered in the tender offer would be used to
subscribe shares.
The offeror announced the final result of the tender offer on 25 June 2013.
The number of Stonesoft Corporation's shares is currently 64,090,482. The above
mentioned ownership percentage has been calculated based on the assumption that
all option rights offered in the tender offer (but not other option rights
issued by the company) would be used to subscribe shares, in which case the
total number of Stonesoft Corporation's shares would be 66,284,982 shares.
