NOVA Chemicals Corporation to Offer $500 Million of Senior Notes
Calgary, Alberta (July 16, 2013) - NOVA Chemicals Corporation (the "Company")
announced today that it intends to offer $500 million of senior notes due 2023
in a private offering. The Company plans to use the net proceeds of the offering
to purchase any and all of its outstanding 8.375% senior notes due 2016 that are
tendered pursuant to a cash tender offer and consent solicitation also announced
today and to pay related transaction fees and expenses. The remaining net
proceeds will be used for general corporate purposes, which may include, among
other things, the repurchase, redemption or other acquisition of any notes not
tendered in the tender offer.
The senior notes will be issued in reliance on the exemption from the
registration requirements provided by Rule 144A and Regulation S of the United
States Securities Act of 1933, as amended (the "Securities Act"). None of the
senior notes have been registered under the Securities Act or the laws of any
state of other jurisdiction and may not be offered or sold in the United States
absent registration or an applicable exemption from the registration
requirements of the Securities Act and applicable state securities laws.
