Rockwood Holdings, Inc. (NYSE: ROC) announced today it entered into a
definitive agreement to sell its rheology business to ALTANA Group, a
German based global specialty chemical company for USD 635 million (approx.
EUR 480 million).
The transaction is expected to close during the fourth quarter 2013
following receipt of certain regulatory approvals.
The business employs 340 people at four production sites in the U.S.,
Germany and the U.K. It produces clay-based additives that are used to
modify the flow characteristics of various materials.
Rockwood was advised by Willkie Farr&Gallagher LLP (alongside Hughes
Hubbard&Reed LLP).
The Willkie team was led by Georg Linde (Corporate) and included partners
Dr. Patrick Meiisel (Tax), Rolf Huenermann (Regulatory), Dr. Christian Rolf
(Employment, all Frankfurt) and associates Dr. Maximilian Schwab, Wolfgang
Münchow, Patrick Wacker, Daniel Zakrzewski (all Corporate), Jochen
Riechwald, Christian Stöhr (both Employment), Jörg Walzer (Tax, all
