Beijing Donia Resources Co., Ltd. Announces the Acquisition of Common Shares and Common Share Purchase Warrants of Golden Share Mining Corporation
(firmenpresse) - MONTREAL, QUEBEC -- (Marketwired) -- 07/30/13 -- Beijing Donia Resources Co., Ltd. ("Beijing Donia"), of Floor 7, Youse Dizhi Building, Block 4, Yard 5, Beiyuan, Anwai, Chaoyang District, Beijing, China, announces that, pursuant to the amalgamation (the "Amalgamation") of Silvore Fox Minerals Corp. ("SFX") and Golden Share Mining Corporation (TSX VENTURE: GSH), it has acquired 13,035,754 common shares and 1,611,111 common share purchase warrants of the amalgamated company, which retained the name Golden Share Mining Corporation ("Amalco"). SFX and GSH amalgamated on the basis of one share of Amalco ("Amalco Share") for each five existing shares of SFX and GSH; and one common share purchase warrant ("Amalco Warrant") for each five existing common share purchase warrants of SFX and GSH.
Prior to the Amalgamation, Beijing Donia owned 65,178,772 common shares and common share purchase warrants entitling Beijing Donia to acquire an additional 8,055,555 common shares of SFX, which represented 37.93% of the issued and outstanding common shares of SFX on a partially diluted basis, assuming exercise of common share purchase warrants by Beijing Donia only.
As a result of the Amalgamation, Beijing Donia now holds 13,035,754 Amalco Shares and 1,611,111 Amalco Warrants entitling Beijing Donia to purchase Amalco Shares, for an aggregate total of 14,646,865 securities, which represents approximately 23.96% of Amalco's issued and outstanding Amalco Shares on a partially diluted basis, assuming the exercise of the Amalco Warrants held by Beijing Donia only.
Beijing Donia may, in the future, acquire ownership and control over additional securities of Amalco for investment purposes.
The 13,035,754 Amalco Shares and 1,611,111 Amalco Warrants were acquired pursuant to Section 2.11 of National Instrument 45-106 Prospectus and Registration Exemptions.
