Bad Oeynhausen, 26 August 2013 - Bad Oeynhausen Local Court appointed
Prof. Dr. Christoph H. Seibt, a partner in the law firm of Freshfields
Bruckhaus Deringer LLP, Hamburg, as the chairman of the extraordinary
General Meeting of Balda AG to be held on 4/5 September. By handing down
this decision, the court granted a petition by the convening shareholder
Elector GmbH, to appoint a chairman for the meeting other than Supervisory
Board chairman Dr. Michael Naschke.
While Balda AG believes that the court's decision is wrong and cannot
understand the reasons given by the court, the company will not appeal the
decision.
Dr. Michael Naschke: 'Prof. Dr. Seibt is an experienced and internationally
renowned lawyer and corporate law expert. Balda has now doubts that he will
chair the extraordinary General meeting in an impartial and competent way.
It is important that shareholders exercise their right to vote or issue
instructions on how to vote to enable as many shareholders as possible to
participate in the decision at this extraordinary General Meeting, which is
of great significance for Balda's future.'
The sole item on the agenda is to replace the entire Supervisory Board of
Balda AG with candidates of Elector GmbH, which holds less than 30% of the
company's share capital.
