Amseco : Private Placement (500 000 $) and Annual Shareholders General Assembly

(firmenpresse) - MONTREAL, QUEBEC -- (Marketwired) -- 09/19/13 -- Amseco Exploration Ltee. ("Amseco") (TSX VENTURE: AEL) is seeking to raise a maximum of 500 000 $ through a private placement.

This placement should be done via the issue of a private placement of 10 millions units at $0.05 cent. Each unit is comprised of one common share and one half of one share purchase warrant. Each whole warrant entitles the holder to purchase one share of the Corporation at an exercise price of $0.10 per share in the 24 months following the closing date of the placement.

The minimum subscription will be tranches of 1000$ (20 000 units) and shares will be subject to a 120 days hold period.

The Corporation intends to use the proceeds of the private placement as working capital to fund the continued development of the Corporation's business.

This private placement has been approved by Amseco's Board of Directors. Insiders can purchase up to 20% of this placement.

As a consideration of obtaining subscriptions for this private placement, an agent commission may be paid.

The private placement is subject to certain conditions including the TSX venture Exchange's approval.

Annual Shareholders General Assembly

Amseco announces that its Annual Shareholders General Assembly has been postponed until December 6th, 2013.
