Cantonal court of Schaffhausen issues subpoena order to LifeWatch to
convene the ordinary Annual General Meeting 2012
Zurich, 3 October 2013 - The LifeWatch Shareholders' Group represented by
Patrik Ringler filed on 6 August 2013 legal action with the cantonal court
of Schaffhausen requesting LifeWatch that the ordinary Annual General
Meeting 2012 be finally convened. To date the Company has failed to comply
with its statutory and legal requirements to call an ordinary Annual
General Meeting by 30 June 2013 at the latest.
Three out of five Members of the Board of Directors (Ken Melani, Yacov Geva
und Urs Wettstein) and their lawyers have taken all measures imaginable to
delay the proceedings, but finally the Cantonal court of Schaffhausen
issued a decision on 30 September 2013. Under this subpoenal order, the
company and its Board of Directors are requested by the court to call the
Annual General Meeting within 20 days after this decision enters in force.
The costs of the proceedings are to be borne by LifeWatch, which also has
been ordered to reimburse the legal cost incurred by the Shareholders'
Group.
The Shareholders' Group hopes that the three Board members Ken Melani,
Yacov Geva and Urs Wettstein, who have taken all measures imaginable to
delay the proceedings so far, will refrain from further manoeuvers after
this judicial decision and see reason that further damage for the company
and its shareholders can be prevented by eventually calling the Annual
General Meeting before the end of the current year.
