Registration of resolutions of the shareholders' meeting -
Closing expected in early December
Frankfurt am Main/Berlin, 5 November 2013. Deutsche Wohnen AG hereby
announces that the resolutions to increase the company's share capital
(ordinary share capital increase against contribution in kind and ordinary
share capital increase against cash contribution) adopted at the
extraordinary shareholders' meeting on 30 September 2013 have been
registered in the commercial register of the local court of Frankfurt am
Main on 5 November 2013. Thereby another milestone for the implementation
of the exchange offer by Deutsche Wohnen to the shareholders of GSW
Immobilien AG has been completed. The closing of the transaction is
expected to occur in early December 2013.
The additional acceptance period of the exchange offer continues until 18
November 2013 at 24:00 hours (CET).
The combination of Deutsche Wohnen and GSW creates a leading German
residential property company of approximately 150,000 residential units and
a portfolio value of approximately EUR 8.5 billion (as of 30 June 2013).

companies in Germany with a business focus on managing and developing its
residential property portfolio. As of 30 June 2013 the portfolio comprised
around 90,600 units in total, of which 89,500 are residential units and
1,100 are commercial properties. The company is listed in the Deutsche
Börse's MDAX and is also included in the leading indices EPRA/NAREIT and
GPR 250.
