Borussia Dortmund simplifies group structure

Borussia Dortmund GmbH&Co. Kommanditgesellschaft auf Aktien ('Borussia
Dortmund') has absorbed by merger the group companies BVB Stadion Holding
GmbH, BVB Beteiligungs-GmbH and BVB Stadion GmbH and acquired the heritable
building right that previously belonged to BVB Stadion GmbH in the stadium
site. The mergers took place on the basis of the financial statement dated
30 June 2013 as the final balance sheet, with the merger coming into effect
in each case as of 1 July 2013, midnight.
The restructuring reduces the number of subsidiaries for Borussia Dortmund,
which improves the transparency of the company. The acquired heritable
building right for the home game stadium, which has previously been rented
within the BVB Group, concerns property that has been owned by Borussia
Dortmund for years. With the merger, though, ownership of the stadium was
now transferred directly to the parent company, Borussia Dortmund.
Furthermore, this change to the structure ends the income tax consolidation
group consisting of the three group companies with Borussia Dortmund as the
parent company in the scope of company agreements. Thus, the result is the
dissolution of a complex share and agreement structure that arose in 2006
on account of the buyback of stadium shares that had been placed with a
mutual fund. Shareholders' resolutions for the mergers from the annual
general meeting of Borussia Dortmund were not necessary, as the mergers all
took place in the internal relationship of the group.
