ORCO Germany S.A. to raise up to EUR 100 million in a reserved capital
increase
In order to pursue investment opportunities within and outside its Berlin
portfolio, the Board of Directors of ORCO Germany S.A. ('OG') resolved on
29 November 2013 to implement a reserved capital increase and raise up to
EUR 100 million pursuant to the authorization granted to it by its
shareholders during the extraordinary general meeting of 26 April 2012.
On 29 November, the Czech company Tandis, a.s., subscribed to a EUR 54
million investment in OG via subscription of 114,600,000 new ordinary
shares at a subscription price of EUR 0.47 per share which corresponds to
the market average over the last six months. Tandis is an entity related to
Mr. Radovan Vítek, shareholder of ORCO PROPERTY GROUP S.A. These
114,600,000 new shares are to be issued on or around 6 December 2013.
Following the implementation of this capital increase the corporate capital
of OG will be increased from EUR 23,005,644.50 represented by 230,056,445
shares to EUR 34,465,644.50 represented by 344,656,445 shares.
Among other uses, the capital increase may be used to reimburse OG's EUR 12
million loan from OPG, invest in the current Berlin portfolio and other
acquisitions, and invest selectively in other assets deemed to be strategic
for the Group.
