Salzgitter Finance B.V., a wholly owned Dutch subsidiary of Salzgitter AG,
on November 8, 2010 issued bonds exchangeable into shares of Aurubis AG.
The bonds in the principal amount of EUR 295.5 million are guaranteed by
Salzgitter AG and have a maturity of seven years. Bondholders are entitled
to request an early redemption of their bonds on the fifth anniversary
after the issue date, at the principal amount together with accrued
interest. Upon exercise of the exchange right the bonds may also be cash
settled instead of delivery of shares of Aurubis AG. The annual coupon has
been set at two percent and the bonds are intended to be listed on the Open
Market (Freiverkehr) segment of the Frankfurt stock exchange.
With an output of over seven million tons of crude steel, and a workforce
of about 24,000 employees, Salzgitter AG is one of Europe's leading steel
and technology corporations.
