for former tied agents
Aragon AG, one of Germany's leading financial services companies, has
signed a purchase agreement to take over 74.9% of the shares in the
Wiesbaden-based company Clarus AG from Talanx Deutschland AG. Talanx
Deutschland will retain a 25.1% stake in the company. The parties to the
agreement have agreed to maintain confidentiality concerning the
contractual details. The agreement is subject to approval by the cartel
authorities, as well to further conditions precedent which Aragon expects
to be met in the near future.
Clarus was founded as an independent agent by the then Gerling Group in
2005. It focuses on offering services to former tied intermediaries. Clarus
helps these to offer forward-looking advice to their customers by drawing
on a broad range of products and providers not bound by exclusivity
restrictions.
Since its inception, this concept has convinced almost 500 independent
agents and around 60,000 customers. With sales of around EUR 17 million,
2010 was the best year in Clarus' history in terms of sales, a major share
of which involved recurring revenues.
As already demonstrated in previous successful acquisitions, Aragon aims to
significantly enhance Clarus' efficiency by working with the company's
existing technologies and processes. In its new capacity as minority
shareholder, Talanx Deutschland will also continue to act as a premium
strategic partner to Clarus.

than EUR 25 million in the very near future.'

the right partner for Clarus in Aragon, as they will uphold the company's
independence and successful sales approach. We are therefore delighted to
be maintaining our links to Clarus in our new role'.
