S.A.G. Solarstrom AG increases dividend by 25%
Freiburg, May 31, 2011. The Annual General Meeting of S.A.G. Solarstrom AG
(German security identification number: 702 100, ISIN: DE0007021008)
decided on May 30, 2011 in Freiburg to distribute a dividend in the amount
of 12.5 Eurocents per share, which will be paid on September 15, 2011.
Anticipatory resolutions for a possible capital increase and the buyback of
own shares were also decided upon by a large majority.
S.A.G. Solarstrom AG's shareholders showed a broad support for the business
policy of both the Execution Board and the Supervisory Board at this year's
Annual General Meeting. The acts of management of both boards were ratified
for fiscal year 2010 and they received acclaim for the pleasing results of
the previous year, the stringent and profitable growth course and the
continuing positive business outlook for 2011 and the years to come.
With 93.2% of the capital in attendance, a dividend of 12.5 Eurocents was
decided upon, which will be paid out on September 15, 2011. With 99% of
the capital carrying voting rights at the Annual General Meeting, the
company was once again empowered to acquire own shares up to a maximum of
10% of the share capital. S.A.G. Solarstrom AG currently holds 484,858 own
shares in its own portfolio and thus 3.7% of the share capital. This new
empowerment is valid until November 29, 2012.
With a similarly large majority of 99.6%, the Annual General Meeting
consented to the creation of new authorized capital in the amount of
maximum EUR15 million. The new anticipatory resolution replaces the
previously authorized capital of EUR10.6 million.
The controlling and profit transfer agreement with the distribution
subsidiary S.A.G. Solarstrom Vertriebsgesellschaft mbH was also agreed upon
with the company, by a majority of more than 99.9%. PricewaterhouseCoopers
AG, Freiburg i.Br. was selected as the annual auditor for fiscal year 2011.
