Salzbergen, Germany, 31 May 2011. H&R WASAG AG today held its Annual
Shareholders' Meeting at Hamburg's Handwerkskammer (trade corporation). All
of the items on the agenda proposed by the management were passed with a
large majority, which exceeded 99.8% in each case.
Dividend raised considerably
A dividend of EUR0.65 per share (2009: EUR0.45) was resolved for the 2010
financial year - an increase of 44.4%. This equates to a dividend yield of
3.1% in relation to the H&R WASAG share's closing price of EUR21.10 in
XETRA on 30 May 2011. The record result posted for the 2010 financial year
and the company's excellent prospects made this significantly higher payout
possible.
New company name: H&R Aktiengesellschaft
H&R WASAG AG was established in 2001, when the Salzbergen lubricant
refinery belonging to the Hansen&Rosenthal Group merged with WASAG Chemie
AG. WASAG stands for 'Westfälisch Anhaltinische Sprengstoff Aktien
Gesellschaft' (Westphalian Anhaltian Explosives Corporation). However, the
Group suspended its explosives operations back in 2007. For this reason,
the shareholders today decided by a large majority to eliminate 'WASAG'
from the company's name. The new name - H&R Aktiengesellschaft - will
become effective when it is entered by Osnabrück registration court.
Two shareholder representatives' seats on the Supervisory Board confirmed
Mr Roland Chmiel and Dr Rolf Schwedhelm were elected onto the Supervisory
Board of H&R WASAG AG by a large majority of votes, with terms until 2016.
Both men have held seats on the Supervisory Board since October 2010. Their
predecessors - Mr Eckbert von Bohlen und Halbach and Mr Günter Papenburg -
will continue to be closely associated with the company and have already
been appointed honorary members of the Supervisory Board of H&R WASAG AG.
In order to further expand the Supervisory Board's expertise, it was
resolved at the same time to increase the Board from six to nine members.
As proposed by the shareholders, Mr Volker Woyke and Dr Joachim Girg are to
be appointed to the committee. The new employee representation will be
named at a later date.
