NOVA Chemicals Corporation to Offer $500 Million of Senior Notes
Calgary, Alberta (October 17, 2014) - NOVA Chemicals Corporation ("NOVA
Chemicals") announced today that it intends to offer $500 million of senior
notes due 2025 in a private offering. NOVA Chemicals plans to use the net
proceeds of the offering to redeem its existing $350 million in aggregate
principal amount of 8.625% Senior Notes due 2019 on November 3, 2014, and to pay
the fees and expenses associated therewith. The remaining net proceeds will be
used for general corporate purposes.
The senior notes will be issued in reliance on the exemption from the
registration requirements provided by Rule 144A and Regulation S of the United
States Securities Act of 1933, as amended (the "Securities Act"). None of the
senior notes have been registered under the Securities Act or the laws of any
state or other jurisdiction and may not be offered or sold in the United States
absent registration or an applicable exemption from the registration
requirements of the Securities Act and applicable state securities laws.
