*SMS GmbH holds 84,46% of elexis AG's share capital
*All of the conditions of the offer have been met
*The two-week time limit for acceptance required by law will start on 19
July 2011 and end on 1 August 2011, 24:00 CEST
Wenden, 18 July 2011 - By the time the time limit for acceptance of the
voluntary public takeover offer of SMS GmbH for the shares of elexis AG
expired on 13 July 2011, the offer was accepted for a total of 5.099.009
elexis shares. Together with the shares already held by SMS GmbH and the
elexis shares acquired outside of the offer, this results in a total of
7.770.299 elexis shares or 84,46% of elexis AG's share capital. The offer
condition of a minimum holding of 50% plus 1 share has therefore been
achieved.
The other condition of the offer in addition to the minimum holding, the
condition of regulatory approval, was met with Federal Cartel Office's
approval on 20 June 2011.
As all of the conditions of the offer have therefore been met, the
additional two-week time limit for acceptance required by law will now
follow. All of the elexis shareholders who have not yet accepted the offer
from SMS GmbH still have an opportunity do so until 1 August 2011, 24:00
CEST.
